Affiliate programme terms
IRO — Affiliate Programme Terms
Version 1.0.0 · Effective 1 September 2026
These terms are the agreement between you and us about the IRO affiliate programme. By using an IRO affiliate code or link, or by accepting a place in the programme, you accept them.
The programme is operated by Vladislav Maier, trading as "IRO", an individual sole trader established in the United States, contactable at vladislav.maier77@gmail.com.
You are also bound by the Terms of Use and the Acceptable Use Policy in the app as a user of it. Where those conflict with this document on the subject of the affiliate programme, this document wins.
1. Eligibility
To take part you must:
- be at least 18 years old;
- be legally able to enter a contract where you live;
- not be located in a country subject to US sanctions or embargo, and not appear on any US Government list of prohibited or restricted parties;
- be able to provide the tax information in §7 when asked;
- not be someone we have previously removed from the programme.
We may decline an application or close an account. Where we decline, we will say why unless doing so would compromise a fraud investigation.
2. What you earn
You earn 30% of the net revenue we receive from each subscriber you refer, for as long as that person remains subscribed.
Net revenue means what actually reaches us, after Apple or Google deducts their commission — not the price on the subscription screen. Those stores currently take 15–30% depending on circumstances, and the rate is set by them, not by us. Net revenue is also after any refund, chargeback, tax collected by the store, or currency conversion cost.
Your dashboard shows what you have earned in real money, already adjusted.
Your dashboard is authoritative on your rate. The 30% above is the current default; your actual rate is whatever the dashboard shows for your account. We may change the rate for future referrals on 30 days' written notice. A change never applies retroactively to commissions already accrued, and never reduces the rate on subscribers you have already referred without your agreement.
3. When you earn it
- Free trials pay nothing. A commission begins when a referred person makes their first actual payment.
- You earn on every renewal, each month they stay subscribed. This is not a one-off bounty at signup.
- When they cancel, you keep the period they paid for. Your earnings stop when their subscription actually expires, not on the day they hit cancel.
- Refunds and chargebacks are deducted. If a subscriber is refunded, the corresponding commission is reversed. If it has already been paid to you, it is deducted from your next payout, and if no further payout is due, we may invoice you for it — though in practice we would rather write it off than chase a small balance.
- If they resubscribe later, they are still attributed to you, and earnings resume.
- Commission accrues only on subscriptions we are actually paid for. A subscription obtained fraudulently, or through a breach of §6, earns nothing.
4. Attribution
A person is credited to you when they either open your referral link or enter your code in the app, before they subscribe.
Attribution is permanent and first-come. Once someone is credited to an affiliate, a later code cannot take them, including yours. Equally, you cannot lose a referral to someone else's code afterwards.
Your referral link currently points at the App Store. There is no install referrer on iOS, so a cold install from the link cannot carry your code automatically — the link works as attribution only when the app is already installed and can receive the deep link. For everyone else, the code typed into Settings is what actually attributes the referral, and it is the one to put in front of people. We would rather tell you that than let you assume a link is doing work it cannot do.
Attribution is recorded against the installation of the app, using a random per-install identifier described in the app's Privacy Policy. This means:
- If someone installs on a new phone and enters no code, that install is not attributed.
- Deleting and reinstalling the app creates a new installation identifier, and the old attribution does not carry over.
- We cannot recover attribution that was never captured. If someone tells you they meant to use your code but did not, there is nothing we can do retroactively, and we will not fabricate a record.
Our records of attribution and commission are the ones that count, absent manifest error. If you think a figure is wrong, tell us within 90 days of it appearing on your dashboard and we will investigate and show you our working. After 90 days a figure is treated as agreed, except in the case of fraud or manifest error.
5. Payouts
- Commissions accrue continuously and are paid on a schedule we publish to you.
- We may set a minimum payout threshold; below it, the balance rolls forward. A threshold will never be used to avoid paying you: if you leave the programme, or we close it, any accrued balance is paid out in full regardless of the threshold.
- Payouts are made in the currency and by the method agreed with you. Payment processing fees and currency conversion costs come out of the payout unless we agree otherwise; we will tell you what they are before the first payout.
- We may withhold a payout while we investigate suspected fraud. If we do, we will tell you within 5 business days, tell you what we are investigating, and complete the investigation within 30 days unless it is genuinely complex, in which case we will tell you why and how much longer we need. If the investigation clears you, the withheld amount is paid in full.
- We may set off against your balance any amount you owe us under §3 (reversals) — and nothing else.
- Unclaimed balances are not forfeited. If we cannot reach you, we hold the balance and pay it when you get in touch. We do not have a breakage policy and we are not going to invent one.
6. What you may not do
- No self-referral. Using your own code, or codes on accounts you control or that people in your household control, is not permitted and voids the associated commissions.
- No paid search on our brand. Do not bid on "IRO", our app name, or close variants or misspellings in search advertising, and do not use them in display URLs or ad copy in a way that implies you are us.
- No incentivised installs, bots, click farms, cookie stuffing, forced clicks, or any artificial inflation of referrals.
- No incentivised App Store or Play Store reviews. Both stores prohibit this outright, and so does the FTC's Rule on Consumer Reviews and Testimonials. Do not offer anything in exchange for a rating or review.
- No fake reviews or testimonials, no reviews written by anyone with an undisclosed connection to you or to us, and no suppression of negative reviews. 16 CFR Part 465, in force since 2024, makes these civil penalty offences — for you, and potentially for us if we knew.
- No spam. No unsolicited email, SMS, DMs, or comment spam. Follow CAN-SPAM, the TCPA, GDPR and PECR where they apply to you, and follow the rules of whatever platform you post on.
- No misrepresentation. Do not claim IRO does something it does not, do not present yourself as us, as our employee, or as our agent, and do not make medical, health, safety or performance claims on our behalf. IRO is not a medical device and does not give medical advice — do not say otherwise, do not imply it, and do not promise anyone a result.
- No misleading discount claims. Your code does not currently give the subscriber a discount; do not imply that it does.
- No trade mark or copyright misuse. You may use the IRO name and, where we provide them, our marketing assets, to promote IRO. You may not modify our logo, register a domain or social handle containing "IRO", or use our marks in your own product name.
- No targeting minors. Do not promote IRO to anyone under 16, or on platforms or in channels directed at them.
- No promotion alongside adult, gambling, or unlawful content.
7. Tax, and your status
You are an independent contractor, not an employee, agent, partner, or joint venturer. Nothing here creates an employment relationship, entitles you to any benefit, or gives you authority to bind us or to make representations on our behalf. You control how, when and where you promote IRO.
You are responsible for your own taxes. We do not withhold — except where the law requires us to, as below.
- US persons. We will ask for a Form W-9 before your first payout. If we pay you US$600 or more in a calendar year, we are required to issue a Form 1099-NEC and to report it to the IRS. If you do not provide a valid W-9, we are required to apply 24% backup withholding — this is not a penalty we chose, and we would rather you just sent the form.
- Non-US persons. We will ask for a Form W-8BEN (individuals) or W-8BEN-E (entities). Without one, US withholding may apply at the statutory rate. With one, a tax treaty may reduce or eliminate it.
- Everyone. Depending on where you live you may need to register for income tax, self-employment tax, VAT or GST on this income. That is yours to work out, and we cannot advise you on it.
We cannot pay you until we have the right form. Balances continue to accrue in the meantime and are not lost.
8. Disclosure — your legal obligation, and we will hold you to it
Where you have a material connection to a product you promote — and earning a commission is one — the law requires you to disclose it: the FTC Endorsement Guides (16 CFR Part 255) in the US, the ASA CAP Code and the CMA under the Consumer Protection from Unfair Trading Regulations in the UK, and equivalents elsewhere.
Disclose that you earn a commission, and do it properly:
- Clearly, in plain language. "I earn a commission if you subscribe" works.
#ador#sponsoredat the start of a post works. "Thanks IRO!",#collab,#sp, or an affiliate disclosure buried in a link-in-bio page does not. - Near the link, before it. Not below the fold, not behind a "more" button, not at the end of a 20-minute video, not only in the description.
- In every post, not once on a profile page.
- In the medium the audience gets it in. In a video, say it out loud as well as showing it. In a livestream, repeat it periodically.
- In the language of the audience.
This is your legal obligation, not ours, and the FTC can act against you personally for breaching it. But we are not indifferent: an affiliate programme that never mentions disclosure is itself a red flag to a regulator, and under the Endorsement Guides an advertiser can be liable for an endorser's non-disclosure where it failed to train and monitor. So:
- we will tell you to fix it if we see it missing;
- we may spot-check your public promotional content;
- persistent non-disclosure is a material breach and we will close your account for it.
We would much rather send you one email about a missing #ad than have this
conversation with a regulator.
9. Data protection
You never see who your referrals are. The dashboard shows counts and earnings — not names, not emails, not anything about anyone's training. That is a deliberate design choice and it is not negotiable, even at your request.
If you collect personal data from your own audience — an email list, a newsletter, analytics on your own site — you are the controller of it and it is entirely your responsibility. We do not receive it and do not want it. Do not send it to us. Do not tell us who signed up through you.
We process your own personal data — your name, contact details, tax information, payment details and commission records — to run the programme and pay you, on the basis of our contract with you and our legal obligations. See the app's Privacy Policy; the retention period for payment and tax records is 7 years.
10. Confidentiality
Your dashboard figures, your commission rate, and anything we tell you that is marked confidential or is obviously so, are confidential. You may disclose your own earnings publicly if you want to — that is your information — but not another affiliate's, and not aggregate figures about IRO's revenue or subscriber numbers that you infer from what we show you.
This obligation lasts for 3 years after you leave the programme, and does not cover anything that is or becomes public without your fault, that you already knew, or that you are legally compelled to disclose.
11. Our marketing assets
Where we give you logos, screenshots or copy, you may use them to promote IRO for as long as you are in the programme, unmodified, and in line with §6. That licence ends when you leave the programme, and you should stop using them within 30 days.
12. No exclusivity, no guarantee
Nothing here is exclusive. You may promote other products, including competitors. We may run other programmes, other promotions, and our own marketing, including in the same channels as you.
We do not guarantee you will earn anything. We make no representation about conversion rates, typical earnings, or the future of the programme. Any figure we have ever quoted is an example, not a projection.
13. Ending it
- You can leave at any time, by telling us. Commissions already accrued remain payable, and are paid at the next payout regardless of the threshold.
- We may pause or close your account for breach of these terms. Except where the breach is fraud or an active harm, we will tell you what the problem is and give you 14 days to fix it before closing your account.
- If we close your account for fraud, accrued commissions attributable to the fraud are forfeited. Commissions from genuine referrals are still paid.
- We may modify or discontinue the programme. If we discontinue it, we will give at least 30 days' notice and pay out all accrued commissions in full.
- We may change these terms. Material changes get 30 days' written notice to you. If you do not accept them, you may leave, and accrued commissions are still paid. Continuing after the notice period means you accept them.
Sections 7, 9, 10, 14, 15, 17 and 18 survive the end of this agreement.
14. Liability
To the fullest extent the law allows, the programme is provided "as is". We are not liable for lost earnings, lost opportunity, or indirect or consequential loss.
Our total aggregate liability to you under this agreement is limited to the greater of (a) the commissions actually owed to you at the time of the claim, or (b) US$100.
Nothing here limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for anything else that cannot lawfully be limited. And nothing in this section lets us avoid paying you commission you have actually earned — a cap on liability is not a licence not to perform.
15. Indemnity
You will indemnify us against third-party claims, and reasonable legal costs, arising from your promotional activity — including a failure to disclose under §8, a claim you made about IRO that we did not authorise, spam you sent, or content you published.
This does not extend to claims arising from our own acts or omissions, or from marketing copy we gave you and you used unaltered.
16. Governing law
Governed by the laws of the State of [US STATE], United States, without regard to its conflict-of-laws rules. Where §17 does not apply, the state and federal courts in [US STATE] have exclusive jurisdiction, except that if you are a consumer under the law of your country of residence, you keep the protection of that country's mandatory laws and may bring proceedings there.
17. Disputes
This section does not apply if you are in the EEA, the United Kingdom, Switzerland, Australia, or any jurisdiction whose law does not permit it.
You must be shown this section, and the app's Terms of Use §16, before you join the programme, and your acceptance is recorded. We do not treat use of a referral code as acceptance of an arbitration agreement — an arbitration clause incorporated by reference into a document nobody was shown does not bind anyone, and we are not going to pretend otherwise.
Subject to that, the dispute resolution provisions of the app's Terms of Use §16 apply to this agreement in full — informal resolution first, then binding individual arbitration under the AAA Consumer Arbitration Rules, in the county where you live or remotely at your choice, with the class action waiver in §16.6, the mass-arbitration protocol in §16.7, and the same 30-day opt-out in §16.9, running from the day you join the programme.
They apply here with two changes:
- If the AAA declines the matter because you are participating as a business rather than a consumer, the AAA Commercial Arbitration Rules apply instead, and fees are shared equally rather than paid by us.
- Either of us may go to court to recover a debt genuinely owed and not disputed in good faith — including us recovering a reversed commission under §3, and you recovering unpaid commission under §5.
Opting out of arbitration has no effect on your standing in the programme, your rate, or your payouts. Retaliating for an opt-out would itself be a breach.
18. General
Entire agreement, together with the documents referenced. Severability: an unenforceable provision is modified to the minimum extent needed, or severed. No waiver by non-enforcement. Assignment: you may not assign; we may assign to a successor on notice. Notices: to you at the email on your affiliate account, to us at vladislav.maier77@gmail.com. No third-party rights.
